1. Definitions

“Promoter” means NTS Live Ltd whose registered office is at 89a Kingsland High Street London E8 2PB.

“Brand” means Marshall Group AB whose registered office is at Centralplan 15, 111 20, Stockholm, Sweden

“Entrant” means any individual who submits an entry.

“Winner(s)” means the Entrant(s) selected to receive a Prize.

“Party” means an event proposed by a Winner and approved by the Promoter.

“Content” means all audio, video, photographs, and related material created at or in connection with any Party by or on behalf of the Promoter and Brand.

2. Eligibility

This competition is open only to legal residents of United States of America residing in the states of California and New York, aged 21 years or older. Proof of age, identity, and residency may be required.

Entrants must have the legal capacity to contract and the ability to lawfully host a Party, including obtaining necessary licences, permits, or permissions.

The Promoter reserves the right to verify eligibility and to disqualify any Entrant who does not meet the requirements.

Eligibility is void where prohibited by law.


3. Entry Requirements

Starting Date: 13:00 (BST time) on 09/10/2025

Closing Date: 23:59 (BST time) on 16/10/2025

Entry is via the official Pitch Your Party Google Form only. All forms must be fully completed to constitute a valid entry.

Only one entry is permitted per individual; multiple entries will result in disqualification.

All entries must be original and not infringe third-party rights.

Any entries received before Starting Date or after the Closing Date will not be entered into the Promotion.

The Promoter accepts no responsibility for late, lost, corrupted, or misdirected entries.

4. Prizes

The Promoter will select multiple Winners. Each Winner will receive:
(i) $5,000 (paid in US Dollars by UK international bank transfer, subject to satisfactory verification); and
(ii) one Marshall Bromley 750 portable speaker.

The Prizes are non-exchangeable, non-transferable, and no cash alternative will be offered.

The Promoter reserves the right to substitute all or part of any Prize with items of equal or greater value at their discretion.

Winners are solely responsible for all federal, state, and local taxes associated with receipt and use of the Prize.

5. Winner Selection and Notification

Winners will be chosen by a judging panel, based solely on the skill and merit of their pitch, assessed against published criteria (creativity, feasibility, brand alignment). No element of chance is involved.

The number of Winners will be determined at the Promoter’s sole discretion.

The Promoter will notify the Winners on October 24th 2025.

Each Winner will be notified via email or phone within a reasonable time of selection.

To remain eligible, each Winner must confirm in writing their ability to host their Party within the required timeframe of 31st October 2025 and 23rd November 2025.

Failure to confirm or to host within this period may result in forfeiture of the Prize.

If a Winner fails to respond within 3x working days, or is found ineligible, the Promoter may award the Prize to another Entrant.

The Promoter’s decision is final and binding, and no correspondence will be entered into.

6. Conditions of Hosting Parties

Each Winner must host their Party on a date agreed in writing with the Promoter within the required timeframe of 31st October 2025 and 23rd November 2025.

Parties held outside this timeframe will not be considered valid and may result in forfeiture of the Prize.

Each Party must comply with all applicable laws and regulations, including those relating to alcohol, licensing, health and safety, and noise.

Each Winner warrants that they have obtained, or will obtain, all permissions, licences, and insurances necessary to host their Party.

Use of the Prize Speaker: Each Winner must use the Marshall Bromley 750 portable speaker provided as part of the Prize during their Party, in a visible and functional way, as a condition of accepting the Prize. Failure to do so may result in forfeiture of the Prize and/or withdrawal from the Competition.

The Promoter accepts no liability for costs exceeding the $5,000 contribution per Party.

The Promoter reserves the right to withdraw the Prize from any Winner who fails to organise the Party in good faith or in compliance with these Terms.


7. Content Rights

All rights, title, and interest in Content produced by or on behalf of the Promoter and Brand shall vest in the Promoter and Brand upon creation.

By entering, Entrants irrevocably grant the Promoter and Brand a perpetual, worldwide, royalty-free, sublicensable, and transferable licence to use, reproduce, adapt, publish, broadcast, and exploit the Content in all media (now known or later developed) for marketing and promotional purposes.

Winners agree to notify all guests that their Party will be filmed and/or photographed and to obtain necessary consents. The Promoter will support Winners on providing guidance in how best to do this. The Promoter and Brand accept no liability for any guest who objects to being recorded.

Entrants waive any moral rights in relation to the Content.

8. Warranties and Indemnity

Entrants warrant that their entry does not infringe any intellectual property or other rights of third parties.

Winners warrant that their Parties will be conducted in compliance with all applicable laws.

Entrants agree to indemnify and hold harmless the Promoter and Brand, their affiliates, officers, employees, and agents from any claim, liability, damage, loss, or expense (including legal fees) arising from:
(i) breach of these Terms;
(ii) infringement of third-party rights; or
(iii) the organisation and conduct of a Party.

9. Alcohol and Conduct

Where alcohol is served, it must be consumed responsibly and in compliance with licensing laws.

Winners are solely responsible for the safety and conduct of their guests.

The Promoter disclaims liability for injury, loss, or damage suffered at or in connection with any Party, except to the extent caused by their negligence.

10. Data Protection

Personal data provided will be processed in accordance with UK data protection law, including the Data Protection Act 2018 and the UK GDPR.

By entering, Entrants consent to the processing of their personal data for the purposes of administering the Competition and producing Content. Entrants acknowledge their personal data may be processed in the United States for the purposes of administering the Competition and producing Content.Data may be shared with third parties where necessary to fulfil the Prizes or produce Content.

For California residents, Promoter will comply with the California privacy laws (CCPA/CPRA). Entrants have the right to request access to, correction of, or deletion of their personal information, and to opt-out of the sale or sharing of their personal information. No sale of personal data will take place under this Competition.

11. Disqualification

The Promoter reserves the right to disqualify entries that are incomplete, inaccurate, unlawful, offensive, or otherwise in breach of these Terms.

The Promoter may withdraw a Prize if a Winner fails to comply with these Terms or acts in a manner that could bring the Promoter into disrepute.

12. Liability

Except for liability that cannot be excluded by law, the Promoter shall not be liable for any loss, damage, expense, or injury arising from participation in the Competition or the Parties.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, or for fraud.

13. Force Majeure

The Promoter shall not be liable for any failure or delay in performing their obligations where caused by events beyond their reasonable control (including, without limitation, strikes, pandemics, natural disasters, or government restrictions).

14. Governing Law and Jurisdiction

These Terms & Conditions, the Competition, and any dispute or claim (contractual or non-contractual) arising out of or in connection with them shall be governed by, and construed in accordance with, the state of New York, without regard to its conflict of laws principles. .

Entrants residing in California may bring claims in California courts. All disputes shall be resolved individually, without resort to class actions,

15. Acceptance of Terms

Entry into the Competition constitutes full acceptance of these Terms & Conditions.
